2026 South Dakota LLC Fees: Formation, Annual Report and Agent
Three numbers do most of the work in South Dakota: $150 to form the LLC online, $55 for the yearly report, and $99 for our agent service. The rest of this page fills in the remaining fees, flags two figures that changed in mid-2025, and adds up what the first few years actually run.

Two Figures That Changed on July 1, 2025
House Bill 1024 pushed the Annual Report from $50 to $55 for e-filing, and from $65 to $70 for paper. Here is the catch: the mail-in PDF form predates the change and still prints the old $65 amount on its face. Trust the current fee schedule, not the form, and treat anything quoting $50 or $65 today as stale.

- $199 + state fees for foreign qualification. An out-of-state LLC registering here pays South Dakota $750 online or $765 on paper for its Certificate of Authority; our fee sits on top of that.
